By participating in any filming or photography session conducted by Bayside Productions, LLC (the "Company"), you (the "Participant") agree to the following terms and conditions:

1. Permission to Film and Photograph: The Participant grants the Company the irrevocable right and permission to film, record, photograph, and capture the Participant's image, likeness, voice, and performance, including any and all intellectual property associated with the Participant's performance, for use in any media, including but not limited to print, broadcast, online, and social media, without any obligation or compensation to the Participant.

2. Intellectual Property: The Participant acknowledges that any intellectual property rights created in connection with the filming or photography session, including but not limited to all copyrights, trademarks, and other proprietary rights, are the sole and exclusive property of the Company. The Participant waives any and all rights to such intellectual property rights and agrees not to contest the Company's ownership thereof.

3. Confidentiality: The Participant agrees to maintain the confidentiality of any proprietary or confidential information related to the Company or its products, services, or intellectual property disclosed or obtained during the filming or photography session.

4. Representations and Warranties: The Participant represents and warrants that they are over 18 years of age or have the consent of their legal guardian. The Participant further represents and warrants that they have the right to enter into this agreement and to grant the rights and permissions provided herein.

5. Release of Liability: The Participant releases and discharges the Company and its officers, directors, employees, agents, and affiliates from any and all claims, demands, or causes of action arising from or in connection with the filming or photography session, including but not limited to any claims for invasion of privacy, defamation, or infringement of intellectual property rights.

6. Indemnification: The Participant agrees to indemnify and hold the Company and its officers, directors, employees, agents, and affiliates harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with the Participant's breach of this agreement or any representations or warranties made herein.

7. Governing Law and Venue: This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the filming or photography session takes place. Any legal action arising from or in connection with this agreement shall be brought in the courts of such jurisdiction.

8. Entire Agreement: This agreement constitutes the entire agreement between the Participant and the Company and supersedes all prior or contemporaneous negotiations, understandings, or agreements, whether written or oral.

By signing the release form at baysideproductionsllc.com/release, the Participant acknowledges that they have read and understand the terms and conditions set forth above and agree to be bound by them.
